# Quarterly AI Governance Retainer — statement of work

## Scope
Per quarter: (a) refresh the AI system inventory; (b) reassess GRI for systems
material to regulated decisions; (c) review changes against the change-control
record; (d) one written memorandum addressed to the model risk committee.

## Deliverables
- Updated inventory with materiality classification
- GRI scorecard per system, under the institution's chosen profile
- Change register review with exceptions noted
- Committee memorandum, four pages, with a residual-risk statement

## Exclusions
- Not an independent test under the FFIEC BSA/AML manual
- Not a model validation opinion
- Does not remediate findings — remediation is a separate engagement and taking it
  would compromise the independence of subsequent reviews

## Door
Door A (advisory). Where the institution requires independent testing, this
retainer must not be sold into the same programme.
